This agreement is between you, the licensee, and Laioutr GmbH, Münchweilersteig 5, 12559 Berlin, Germany ("Laioutr"). By buying, installing or using Laioutr UI (the "Software") you accept these terms.
1. Licence grant
Laioutr grants you a non-exclusive, non-transferable licence to use the Software to build and run websites and applications, within the limits of the plan you bought.
- Solo. One named developer. Unlimited projects.
- Team. Up to ten developers in one organisation. Unlimited projects.
- Platform. Customers with an active Laioutr platform subscription may use the Software for the term of that subscription, for the developers covered by it.
A developer is a person who writes or changes code that uses the Software. A seat belongs to one person and may be reassigned when that person leaves the project.
2. What you may do
- Use the Software in an unlimited number of projects that you own or build for your clients.
- Change the Software to fit those projects.
- Deliver the Software to your clients as part of a finished project.
3. What you may not do
- Let more developers work with the Software than your plan covers.
- Resell, rent, sublicense or publish the Software or its source code, changed or unchanged.
- Ship the Software in a way that lets others reuse it outside your project, for example in a template, theme, starter kit or component library.
- Use the Software to build a product whose main purpose is the same as the Software's.
- Remove copyright or licence notices.
4. Client projects
When you hand a project to a client, the client may run and host it. If the client's own developers continue to work on code that uses the Software, the client needs its own licence.
5. Updates and support
Your licence includes the updates Laioutr releases for the Software. Support covers bug reports and feature requests. It does not cover help with your application code.
6. Open source parts
The Software builds on Laioutr UI Kit and other open source packages. Those parts stay under their own licences, and this agreement does not limit your rights under them.
7. Ownership
The Software is licensed, not sold. Laioutr keeps all rights in the Software. You keep all rights in what you build with it.
8. Term and termination
Solo and Team licences do not expire. A Platform licence ends with the subscription. Any licence ends if you break these terms and do not fix the breach within 30 days of written notice. When a licence ends you must stop developing with the Software. Projects already in production may stay online.
9. Refunds
Because the Software is delivered as source code, purchases are not refunded once access has been granted. Statutory consumer rights are not affected.
10. Warranty and liability
The Software is provided as is. Laioutr is liable without limit for intent, gross negligence and injury to life, body or health. For slight negligence Laioutr is liable only for breach of essential contractual duties, limited to the foreseeable damage typical for this kind of contract, and in total to the fee you paid. Liability under the German Product Liability Act is not affected.
11. Governing law
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction for merchants is Berlin.
